Purpose of the Terms of Service 

This Terms of Service agreement (the “Agreement”) governs your use of the DelveIn LLC’s website, products and services (collectively, the “Products & Services”). Our aim is to provide a safe and enriching environment for our users (referred to as “Delvers”) to be connected with resources for wellness practices and retreats, participate in online seminars, workshops, forums, groups, connect with coaches and facilitators, schedule and attend retreats, shop and purchase products from our store, and more. By accessing or using our Website, Products & Services, you agree to be bound by this Agreement.

DelveIn LLC and its subsidiaries is not a mental health agency and does not provide medical, psychiatric, or psychological treatment. The information and resources available through our Website, Products & Services are not intended to diagnose, treat, cure, or prevent any mental health condition or illness, nor should they replace formal medical treatment by a licensed healthcare provider. Our aim is to connect Delvers with valuable information, resources, and opportunities to engage in wellness practices and experiences. We encourage all users to seek professional advice from qualified healthcare providers for any mental health or medical concerns.

Crisis Response Disclaimer

DelveIn LLC is not a crisis response entity and is not equipped to handle emergency situations. If you are experiencing a mental health crisis or any other emergency, please contact your local emergency services or crisis response resources immediately. By accessing or using any part of the Products & Services, you signify your acceptance of this Agreement and our Privacy Policy. If you do not agree with any part of these terms, you must not use our Services. Continued use of the Services indicates your acceptance of any changes to this Agreement.

Modifications to the Terms 

We reserve the right to modify these terms at any time. Any changes will be effective immediately upon posting the updated Agreement on our website. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes. We encourage you to review this Agreement periodically.

Definitions
  • “Agreement”  - The Terms of Service agreement governing the use of DelveIn LLC’s website, products, and services.

  • "DelveIn LLC"  - The entity providing the website, products, and services, including all associated resources and activities.

  • “Online Retreat Center” - References the interconnected website platforms and apps that provide access to all of the services and products provided by DelveIn LLC. 

  • "Website" - The online platforms where DelveIn LLC services and resources are accessed by users.

  • "Products & Services" - All offerings provided by DelveIn LLC, including the website, seminars, workshops, forums, groups, access to coaching and activity facilitation, retreats, and store products.

  • "Delvers"  - Registered users or participants of the DelveIn LLC.

  • "Resources" - Materials, content, information provided to support wellness practices and retreats, including, blog posts, articles, videos, and other educational content, scheduling calendar, products, community support and connections to facilitated activities and coaching sessions.

  • "Seminars" - Online courses provided by DelveIn LLC, which may include interactive asynchronous curriculum, and recorded lectures designed to engage Delvers in self-discovery and wellness topics.

  • "Workshops" - Activity-focused and interactive asynchronous courses and live facilitated activities designed to engage Delvers in self-discovery and wellness topics.

  • "Forums" - Online discussion boards where Delvers can communicate, share experiences, tips and support.

  • "Groups" - Sub-communities within the DelveIn platform where users can join based on specific interests, goals, or simultaneous facilitated group activities or retreats.

  • "Coaches" - Qualified life coach professionals available through DelveIn to provide personalized support and guidance for Delver’s retreat plans.

  • "Facilitators"  - Individuals who lead or guide workshops, and other activities within the DelveIn platform or externally in their own professional spaces.

  • "Retreats" - Customized and/or Organized events, either virtual or physical, during which Delvers participate in wellness activities and practices.

  • “Store" or “Shop”  - The ecommerce or brick-and-mortar shop where Delvers can purchase products related to wellness practices and retreats.

  • "User" - Anyone who accesses or uses the DelveIn LLC’s website, products, and services, whether registered as a Delver or not.

 

User Accounts and Registration

Account Creation Requirements

To access certain features of the DelveIn LLC, users must create an account. During the registration process, you will be required to provide certain information, including your name, email address, and a password. You may also be asked to provide additional information to help us tailor our services to your needs. By creating an account, you agree to provide true, accurate, current, and complete information as prompted by the registration form.

Accurate Information

You agree to maintain and promptly update your account information to keep it true, accurate, current, and complete. If we have reasonable grounds to suspect that any information provided by you is untrue, inaccurate, outdated, or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

Account Security and Responsibility

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. DelveIn LLC will not be liable for any loss or damage arising from your failure to comply with this obligation.

Eligibility Criteria

To create an account and use the Services, you must be at least 18 years old or the age of majority in your jurisdiction of residence. By creating an account, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you must not create an account or use the Services.

Account Termination

You may terminate your account at any time by following the instructions provided on our website. We reserve the right to terminate or suspend your account, without prior notice, if you violate these Terms of Service or if we have reasonable grounds to believe that you have violated any laws or regulations. Upon termination, your right to use the Services will immediately cease, and all data associated with your account may be deleted.

 

Description of Services

DelveIn LLC offers a variety of services designed to support wellness practices and retreats. Our comprehensive suite of services includes:

  • Online Seminars and Workshops: Participate in live and recorded sessions led by experts in various wellness disciplines. These sessions cover topics related to whole person wellness including physical, mental, emotional, relational, and spiritual wellness. Seminars feature opportunities for personal reflection and introduction to innovative options to meet your unique retreat needs. Workshops feature activity and experience based learning and provide you with activities to engage in to deepen your understanding of yourself and your experience of the world around you.

  • Forum Communities and Groups: Engage with other Delvers in our online forums and groups. Share experiences, ask questions, and support one another in your wellness journeys. Forums are generalized conversations about wellness practices and an exchange of ideas for resources. Groups are typically connected to attendance in some seminars, workshops, and retreats.

  • Library of Resources: Access to an ever evolving library of articles and videos , and other resources curated by our team to help you broaden and deepen your wellness practices for a retreat or in daily life.

  • Facilitated Activities: When planning and attending a retreat, you will be connected with experienced facilitators who guide workshops and activities.

  • Coaching Sessions: Receive personalized support from qualified life coaches who help you plan and achieve your retreat goals.

  • Retreats: Schedule and attend virtual or in-person retreats designed to offer immersive wellness experiences. A key DelveIn retreat is the customizable retreat, which is a wrap-around planning program where you can build a retreat to match your own unique needs and situation. In addition, established retreat plans and opportunities become available as they are developed.

  • Store: Shop for products that support your wellness practices. This is a broad range of products that support the activities discussed in DelveIn services.

  • Calendar: When planning and attending a retreat with us, use our scheduling calendar to add activities to your plan. Some of these are add-on activities and some are placeholders for your own activities.

  • Rentals: Access listings for temporary housing rentals for your retreat including hotels, BnB options. 

 

Access and Use of Services

Access to our services may require registration and the creation of an account. Some services may be available for free, while others may require payment or a subscription. You agree to use the Services in accordance with these Terms of Service and any additional terms and conditions that may apply to specific services.

Service Availability and Limitations

While we strive to provide uninterrupted access to our services, we do not guarantee that the Services will always be available or that they will operate without interruptions or errors. We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. DelveIn LLC will not be liable for any unavailability of the Services or any loss of data or content. Please read our refund policy around scheduled retreats for more information.

Subscription and Payment Terms

Certain services and products offered by DelveIn LLC may require a subscription or one-time payment. Subscription plans, payment methods, and renewal policies will be clearly outlined at the time of purchase. By subscribing, you agree to pay all applicable fees and charges in accordance with the selected plan and payment terms.

User Responsibilities

As a user of our Services, you agree to participate respectfully and responsibly. This includes adhering to the guidelines and rules for seminars, workshops, forums, and other interactive services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Third-Party Services

Our Services may include content or services provided by third parties. DelveIn is not responsible for the accuracy, reliability, or quality of any third-party content or services. Your use of third-party services is subject to the terms and conditions of those third parties.

Content Usage

The content provided through our library, seminars, workshops, facilitated activities, coaching sessions, retreats and other resources is for your personal use and educational purposes. You may not reproduce, distribute, or exploit any content without the express written permission of DelveIn.

Feedback and Suggestions

We welcome your feedback and suggestions to improve our Services. By submitting feedback, you grant DelveIn the right to use, modify, and incorporate your suggestions without any obligation to you.

 

User Conduct

Prohibited Behaviors

To ensure a safe and positive environment for all Delvers, the following behaviors are strictly prohibited:

  • Harassment: Any form of harassment, bullying, or intimidation towards other users.

  • Discrimination: Discriminatory comments or actions based on race, gender, sexual orientation, religion, nationality, or any other characteristic.

  • Spamming: Unsolicited messages or advertising in forums, groups, or any other part of the Services.

  • Illegal Activities: Engaging in or promoting any activity that is illegal or violates the rights of others.

  • Misrepresentation: Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

 

Prohibited Activities

Users are expected to refrain from the following activities:

  • Harassment: Threatening, stalking, or intimidating other users.

  • Spamming: Sending unsolicited or irrelevant messages, advertisements, or promotions.

  • Illegal Activities: Participating in activities that are illegal, including but not limited to hacking, fraud, or intellectual property theft.

  • Distribution of Malicious Software: Uploading or distributing viruses, malware, or any other harmful software.

  • Misuse of Services: Using the Services for purposes other than those intended by DelveIn, such as commercial exploitation or data mining.

Community Guidelines for Forums and Groups

To foster a respectful and supportive community, users are expected to adhere to the following guidelines:

  • Respectful Communication: Communicate with others in a respectful and constructive manner. Avoid using offensive language or making personal attacks.

  • Relevant Content: Share content and participate in discussions that are relevant to the topic at hand. Avoid off-topic posts and comments.

  • Privacy: Respect the privacy of other users. Do not share personal information without consent.

  • Supportive Feedback: DelveIn is not the place to debate, argue or give others constructive feedback. It is a place to be focused on your own journey. With that in mind, when responding to another Delver’s shared experience, offer supportive feedback with compassion, kindness, and positive regard.

  • Additional guidelines: Some forums and groups will have additional guidelines and users are expected to adhere to them.

Reporting and Addressing Violations

If you encounter any behavior or activity that violates these guidelines, please report it to our support team by contacting us at support@delvein.online . When reporting a violation, please provide as much detail as possible, including the nature of the violation and any relevant evidence (e.g., screenshots, messages).

Upon receiving a report, we will investigate the matter promptly and take appropriate action. This may include:

  • Warning: Issuing a warning to the user responsible for the violation.

  • Suspension: Temporarily suspending the user’s account and access to the Services.

  • Termination: Permanently terminating the user’s account and access to the Services.

DelveIn LLC reserves the right to take any action it deems necessary to protect the safety and integrity of the community. All decisions regarding violations and consequences are final.

 

Content and Intellectual Property

Ownership of Content Provided by the Retreat Center

All content available on the DelveIn LLC, including but not limited to text, graphics, logos, images, videos, and software, is the property of DelveIn or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. The compilation of all content on our Website is the exclusive property of DelveIn LLC and is protected by international copyright laws. Unauthorized use of any content may violate these laws and is strictly prohibited.

User-Generated Content and Its Use

DelveIn LLC allows users to create, submit, and share content, including but not limited to comments, posts, messages, and other materials (collectively, "User Content"). By submitting User Content, you retain any ownership rights you may have in your content, but you grant DelveIn a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media.

You are solely responsible for the User Content you submit and the consequences of sharing it. You represent and warrant that you own or have the necessary rights and permissions to use and share your User Content and that your content does not infringe upon the intellectual property rights or other rights of any third party.

By submitting User Content, you grant DelveIn a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media. This license is necessary for us to operate and provide our Services.

You acknowledge that DelveIn may choose to provide attribution of your User Content at our discretion, and you hereby waive any moral rights you may have in your content. You also agree that this license includes the right for other users of the Services to access and use your User Content, subject to these Terms of Service.

The license granted to DelveIn to use your User Content does not override our commitment to protecting your personal information. Payment and Refunds

Payment Terms for Courses, Workshops, and Products

Payments for courses, workshops, retreat packages, and add-ons (including facilitated activities and coaching sessions) can be made through our website. We accept various payment methods, including credit/debit cards and other payment options as specified on our website. All payments must be made in full at the time of purchase unless otherwise specified. Prices for all services and products are subject to change without notice.

Our store is managed through Shopify, and payments for products can be made directly through our website. When purchasing a product, you will be directed to a secure pop-up window that links to our Shopify management system, ensuring a safe and seamless transaction process.

Subscription Details

DelveIn LLC offers a premium membership on a monthly subscription basis. By subscribing, you agree to pay the monthly subscription fee specified at the time of purchase. Subscriptions will automatically renew each month unless canceled by the user. You can manage and cancel your subscription through your account settings on our website. Cancellations will take effect at the end of the current billing cycle, and no partial refunds will be issued for unused portions of the subscription period.

Refund Policy for Services and Products

We strive to ensure your satisfaction with our services and products. However, we understand that there may be occasions where a refund is necessary. Our refund policy is as follows:

  • Courses and Workshops: Refunds for courses and workshops will be issued if the request is made at least 48 hours before the start date. No refunds will be issued for requests made within 48 hours of the start date or after the course/workshop has begun.

  • Retreat Packages: Refunds for retreat packages will be considered on a case-by-case basis. Requests for refunds must be made at least 30 days before the retreat start date to be eligible for a full refund. Requests made within 30 days of the retreat start date may be eligible for a partial refund, depending on the circumstances.

  • Add-Ons (Facilitated Activities and Coaching Sessions): Refunds for add-ons will be issued if the request is made at least 24 hours before the scheduled activity or session. No refunds will be issued for requests made within 24 hours of the scheduled activity or session.

  • Store Products: Refunds for products purchased from our store will be issued if the request is made within 14 days of purchase, provided that the product is returned in its original condition. Shipping and handling fees are non-refundable. Please see our Shop Refund Policy for more information.

Billing and Payment Disputes

If you believe there is an error in billing or payment, please contact our customer support team at support@delvein.online  within 30 days of the charge. We will investigate the issue and work with you to resolve any disputes. In the event of a billing error, we will correct the error and, if necessary, issue a refund.   • Providing false, inaccurate, or incomplete information during the registration process or while using the Services.

  • Unauthorized use of the Services or content.

  • Any other actions that DelveIn LLC deems harmful to the safety and integrity of the community or the operation of our Services.

Effect of Termination on Access to Services and Content

Upon termination or suspension of your account, your right to access and use the Services will immediately cease. All data and content associated with your account may be deleted, including any user-generated content you have submitted. DelveIn LLC is not liable for any loss of data or content resulting from account termination or suspension.

Appeal Process for Terminated Accounts

If you believe your account has been terminated or suspended in error, you may appeal the decision by contacting our customer support team at support@delvein.online within 30 days of the termination or suspension notice. Please provide your account details and a detailed explanation of why you believe the action was incorrect.

Our team will review your appeal and respond within 15 business days. If your appeal is successful, your account will be reinstated, and access to the Services will be restored. If the appeal is denied, the termination or suspension will remain in effect, and you will be provided with an explanation for the decision.

 

Governing Law and Dispute Resolution

Governing Law for the Terms of Service

These Terms of Service and any disputes arising out of or related to the Services or these Terms will be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. This choice of law provision ensures that our agreement is interpreted consistently and predictably.

Dispute Resolution Process

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, you and DelveIn LLC agree to resolve the dispute through the following process:

  • Mediation: Initially, we will attempt to resolve the dispute through informal mediation. Either party may initiate the mediation process by providing written notice to the other party. The mediation will be conducted by a neutral third-party mediator agreed upon by both parties.

  • Arbitration: If the dispute is not resolved through mediation within 30 days of the written notice, the dispute shall be resolved by binding arbitration. The arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

  • Court: If the arbitration clause is found to be unenforceable or does not apply to the dispute, you agree that any legal action or proceeding arising out of or related to these Terms of Service shall be brought exclusively in the state or federal courts located in King County, WA.

Jurisdiction and Venue for Legal Disputes

You and DelveIn LLC agree that any judicial proceedings (other than small claims actions) will be brought in and you hereby consent to the exclusive jurisdiction and venue in the state and federal courts located in King County, WA. Both parties waive any objection to jurisdiction and venue in these courts.

 

Changes to the Terms of Service

DelveIn LLC reserves the right to update or modify these Terms of Service at any time. Any changes will be effective immediately upon posting the updated Terms of Service on our website. Entire Agreement Clause

This agreement supersedes all prior understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms of Service shall remain in full force and effect. Waiver

No waiver of any term or condition of these Terms of Service shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of DelveIn LLC to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

Assignment of Rights and Obligations

DelveIn LLC may assign its rights and obligations under these Terms of Service to any party at any time without notice to you. You may not assign or transfer your rights or obligations under these Terms of Service without the prior written consent of DelveIn LLC. Any purported assignment in violation of this provision shall be null and void.
